Jana Partners reported beneficial ownership in the pet-food maker of 4,145,087 shares, or 8.6% of its outstanding stock. Jana disclosed it has informed Freshpet that it plans to solicit proxies for its slate of director nominees at Freshpet’s 2023 annual shareholders meeting. Through an earlier September 2022 13D, Jana revealed that it planned discussions with Freshpet’s board and management to evaluate Freshpet’s “strategic value in a sale, capitalizing on interest in the category from significantly larger players with lower costs of capital, strong operational capabilities, global footprints, and greater scale.”
